Circle agreed on September 8, 2026, to acquire Singapore-based cross-border payments infrastructure company Tazapay for $400 million in stock, adding a network of regulated banking and payout connections designed to expand Circle’s ability to originate and terminate international payments. The acquisition is expected to close in 2027 after customary closing conditions and regulatory approvals, including approval from the Monetary Authority of Singapore.

Circle will pay for Tazapay with Class A common stock. The number of shares issued will be calculated using Circle’s volume-weighted average closing price during the 20 trading days preceding completion of the transaction, while the purchase price will be adjusted for Tazapay’s debt, transaction expenses and cash under the deal terms disclosed in a U.S. Securities and Exchange Commission filing.

Tazapay operates business-to-business payments infrastructure connecting payment companies and financial institutions with more than 60 banking and fintech partners. Its network allows customers to collect and distribute money through local payment rails in more than 100 markets. Circle said Tazapay processes more than $25 billion in annualized payment volume, with approximately 60% of its transaction volume already involving stablecoins.

Tazapay said in August 2025 that its annualized payment volume exceeded $10 billion, compared with the higher processing level disclosed with the acquisition. Circle had already invested in the company through Circle Ventures, including participation in Tazapay’s Series B round that same month. Funding data cited in the source material showed that Tazapay had raised $57.9 million across five funding rounds.

Tazapay brings licenses, customers and local payment connections

Tazapay said in March 2026 that it served more than 1,000 companies and fintech firms across 30 countries and had doubled revenue for three consecutive years. The disclosure came alongside an extension of its Series B financing led by Circle Ventures, extending a relationship that had already moved beyond a standard vendor arrangement.

Tazapay holds licenses or registrations in Singapore, Canada, Australia and the United States, while applications were underway in the European Union, Hong Kong and the United Arab Emirates. The company has also served as a design partner for the Circle Payments Network since 2025, giving Circle an established commercial and technical relationship with the business before agreeing to acquire it.

Circle said the acquisition would expand its ability to route payments to and from Asia-Pacific and emerging markets. Tazapay’s infrastructure provides local banking, fintech and payout connections that can handle the conversion and movement of funds between blockchain-based settlement systems and domestic financial networks.

“This acquisition will increase Circle’s capability to originate and terminate payments globally, near-instant and 24/7, which is a meaningful step toward making USDC the default payment rail for cross-border commerce,” said Irfan Ganchi, senior vice president of payments at Circle.

Circle said Tazapay customers should experience no disruption while the transaction is pending. Existing services, APIs, pricing and customer support are expected to remain unchanged before completion of the acquisition.

Deal extends Circle’s acquisition strategy

The Tazapay purchase is Circle’s most expensive acquisition since its 2018 purchase of crypto exchange Poloniex and follows several transactions involving payments, tokenization, blockchain infrastructure and intellectual property.

Year Transaction Disclosed detail
2022 Cybavo acquisition Web3 infrastructure provider
2023 Centre Consortium interest $209.9 million in stock for Coinbase’s remaining half, which controlled USDC intellectual property
2025 Hashnote acquisition Approximately $100 million for the company behind tokenized money-market fund USYC
July 2026 IBM blockchain patent portfolio Nearly 1,000 blockchain patents

Circle has also acquired payments software company Elements and blockchain consensus technology Malachite. Together with Hashnote, Cybavo, the Centre Consortium interest and IBM patent portfolio, those transactions have expanded Circle’s holdings across payments software, tokenized financial products, blockchain infrastructure and intellectual property.

Circle shares were down more than 2% in Tuesday premarket trading around the announcement. Later in the September 8 session, CRCL was down 2.7% at $99.30, while remaining more than 25% higher year to date.

Tazapay’s acquisition differs from Circle’s earlier technology-focused purchases by adding an operating network of regulated banking and payout connections. Circle is acquiring infrastructure already handling international transaction volume, including a substantial stablecoin component, while expanding its access to local payment systems across a broad range of markets.
